How to renew a business licence

A business licence rarely lapses on its own. It usually lapses because something upstream was not filed — accounts, a tax return, a registered address confirmation — and the licence renewal is simply where that surfaces.

What has to be current first

Most registries check that annual filings are up to date before renewing anything: accounts or a confirmation statement, tax registration, and a valid registered address in the jurisdiction.

Where a licence is sector-specific — food, transport, construction, financial services, childcare — there is usually an inspection or a qualification to evidence as well, and those book out further ahead than the licence takes to issue.

Being late is not a fine, it is a status change

Operating on a lapsed licence can invalidate contracts and insurance, and in regulated sectors it is an offence in its own right rather than an administrative slip.

Registries in several countries move dormant or non-filing entities toward dissolution automatically. Restoring one afterwards costs considerably more than renewing on time.

If you operate from another country

A company registered in one country and run from another usually still has to maintain a registered address and local filings there, and may separately need to register where it actually operates.

Tax residence often follows where the business is genuinely managed rather than where it was incorporated, which is a larger question than the licence itself and worth proper advice.

Can I trade while a renewal is pending?

It depends on whether the licence is permissive or declaratory. Where it grants the right to operate, no. Where it records an activity you were already entitled to carry on, often yes. In regulated sectors, assume no.

What if the business has been dormant?

Dormant companies usually still have to file, and the filings are simpler rather than absent. Missing them is the most common route to accidental dissolution.
